Court Safe Terms & Conditions

These Terms and Conditions govern the supply, installation, and use of tennis net post safety padding (“Products”) supplied by Court Safe (“Court Safe”, “we”, “our”, or “us”). By purchasing, accepting installation of, or using our Products, the Customer (“Club”, “Organisation”, or “Customer”) agrees to these Terms and Conditions.
1. Business Model
Court Safe offers two methods of supplying its patented tennis net post safety padding:
1.1 Direct Purchase
Clubs may purchase the Products using their own budget. Ownership of the Products transfers to the Customer once full payment has been received.
1.2 Sponsored Installation
Court Safe may provide and install the Products at no cost to the Customer through sponsorship funding secured by Court Safe.
Where Products are supplied under this model:

Court Safe retains ownership of the Products unless otherwise agreed in writing.

Sponsor branding may be displayed on the Products.

Sponsorship agreements are managed solely by Court Safe.

Court Safe reserves the right to replace, update or change sponsorship branding during the sponsorship period.
2. Installation
Court Safe will arrange installation at a mutually agreed date and time.
The Customer agrees to:

Provide safe and reasonable access to the tennis courts.
-
Ensure the courts are suitable for installation.

Notify Court Safe of any hazards that may affect installation.
Court Safe reserves the right to postpone installation where weather conditions, site safety or circumstances beyond our reasonable control make installation impractical or unsafe.
3. Customer Responsibilities
The Customer agrees to:

Use the Products solely for their intended purpose.

Carry out routine visual inspections.

Notify Court Safe promptly of any damage, excessive wear or defects.

Not remove, modify or tamper with the Products without the prior written consent of Court Safe.
4. Maintenance
For Products purchased outright, ongoing maintenance is the responsibility of the Customer unless otherwise agreed in writing.
For sponsored installations, Court Safe may inspect, maintain, repair or replace the Products where reasonably necessary throughout the sponsorship period.
5. Sponsorship Conditions
Where Products are supplied under a sponsorship agreement:

Sponsor logos and branding must not be removed, obscured, altered or damaged.

The Customer agrees to maintain the Products in a clean and presentable condition.

Court Safe reserves the right to remove the Products if the sponsorship agreement ends or these Terms are materially breached.
6. Product Purpose and Safety
Court Safe’s patented safety padding has been designed to help reduce the risk and severity of impact injuries associated with contact between players and exposed tennis net posts.
While the Products are intended to improve player safety, no safety product can eliminate the risk of injury entirely. The use of Court Safe Products does not guarantee that injuries will not occur.
The Customer acknowledges that participation in tennis carries inherent risks and remains responsible for ensuring that its facilities are maintained and operated safely in accordance with applicable laws, regulations and governing body guidance.
7. Limitation of Liability
Court Safe’s Products are intended to reduce the risk of injury but should not be relied upon as the sole safety measure on any tennis court.
To the fullest extent permitted by law:

Court Safe shall not be liable for any injury, loss or damage arising from misuse of the Products, unauthorised alterations, improper installation by third parties, failure to maintain the Products, vandalism or circumstances outside Court Safe’s reasonable control.

Court Safe accepts no responsibility for injuries sustained during the normal use of a tennis facility where such injuries are not caused by any defect in the Products or negligence on the part of Court Safe.

The Customer remains solely responsible for the overall safety, inspection and maintenance of its tennis facilities.
Nothing in these Terms excludes or limits Court Safe’s liability for death or personal injury caused by its negligence, fraud or any liability that cannot legally be excluded under the laws of England and Wales.
8. Warranty
Where applicable, Court Safe will provide a written warranty covering manufacturing defects.
The warranty does not cover:

Fair wear and tear.

Cosmetic deterioration.

Vandalism.
-
Accidental damage.
-
Damage resulting from misuse or unauthorised modifications.
9. Termination
For sponsored installations, Court Safe may terminate the agreement and remove the Products where:

Sponsorship arrangements end;
-
The Customer materially breaches these Terms;
-
Continued installation is no longer commercially or practically viable.
10. Changes to these Terms
Court Safe reserves the right to amend these Terms and Conditions at any time. Updated versions will be published on our website and shall take effect immediately upon publication.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Force Majeure
Court Safe shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to adverse weather conditions, fire, flood, pandemic, industrial disputes, shortages of materials, transport disruption, acts of government, or any other event beyond Court Safe’s reasonable control.
14. Payment Terms
For Products purchased directly:

All invoices are payable within 30 days unless otherwise agreed in writing.

Court Safe reserves the right to charge statutory interest and recovery costs on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Ownership of purchased Products shall not pass until payment has been received in full.
15. Risk
Risk in purchased Products passes to the Customer immediately following delivery or installation.
The Customer is responsible for protecting the Products from theft, vandalism or accidental damage once installed.
16. Insurance
The Customer is responsible for maintaining appropriate public liability insurance covering its tennis facilities.
Court Safe recommends that all clubs ensure their insurance policy covers installed court equipment and accessories.
17. Product Appearance
As the Products are manufactured using specialist materials, minor variations in colour, texture or finish may occur and shall not constitute a manufacturing defect.
18. Photographs and Marketing
Unless the Customer notifies Court Safe otherwise in writing before installation, the Customer grants Court Safe permission to photograph the installed Products and use those photographs for marketing, promotional materials, social media, presentations and the Court Safe website.
No confidential information relating to the Customer will be disclosed without prior consent.
19. Severability
If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms and Conditions constitute the entire agreement between Court Safe and the Customer and supersede all previous discussions, negotiations or representations relating to the Products unless agreed in writing.
Safety Disclaimer
Court Safe’s tennis net post safety padding has been designed to reduce the risk and severity of impact injuries associated with exposed tennis net posts. While independent testing and product design have focused on improving player safety, no protective equipment can eliminate the risk of injury entirely.
The installation of Court Safe padding should not be regarded as a substitute for proper court maintenance, safe playing practices, adequate supervision or compliance with applicable health and safety regulations. Court Safe accepts no liability for injuries except where such liability cannot lawfully be excluded under the laws of England and Wales.
